Every AI governance framework I've seen fail had the same origin story. Someone senior — usually a CIO or a compliance lead — announced that the organization needed AI governance. A committee was formed. Meetings were scheduled. A policy document was drafted, reviewed, revised, reviewed again, and eventually published to the company intranet.
Three months of work. A 15-page PDF. And by the time it was published, the AI landscape inside the organization had already changed so much that the document was outdated before anyone read it.
I'm not saying policy documents are useless. But I am saying that starting with a document is the most common mistake organizations make when building a governance framework. The document isn't the framework. It's one artifact inside a framework. And if you build it before you know what you're governing, you'll build the wrong thing.
Here's how to build a framework that actually works — based on what I've seen succeed across dozens of enterprise deployments.
Why Most Governance Frameworks Fail Before They Start
The root cause is almost always the same: organizations try to govern what they can't see.
A governance committee sits down to define policies for AI usage. But they don't have a complete inventory of what AI tools are actually deployed. They know about the tools IT procured. They might know about a few that department heads mentioned. But the shadow AI — the 60–80% of tools that employees adopted without IT knowledge — is invisible to them.
So they write policies based on assumptions. They create approval workflows for tool categories they think exist. They set budget thresholds against spend numbers that only capture a fraction of actual AI costs.
Then reality hits. An audit reveals tools nobody accounted for. A security incident exposes an OAuth connection the policy didn't address. A CFO asks why AI spend is 3x higher than the governance team estimated.
The framework didn't fail because the policies were wrong. It failed because it was built on incomplete information. And that's why Step 1 isn't "write a policy." Step 1 is "see what you have."
01Build Your AI Inventory
Before you write a single policy, before you form a single committee, scan your environment. Build a complete inventory of every AI tool, agent, model, and application in your organization.
This means connecting to your AI platforms — Salesforce AgentForce, ServiceNow, AWS Bedrock, OpenAI, Azure, Google Vertex, Anthropic Claude. It means connecting to your identity provider — Microsoft Entra ID, Okta — to surface every AI SaaS tool employees signed up for using corporate credentials. It means scanning for OAuth connections, API integrations, and embedded AI features in tools you already use.
The inventory should include sanctioned tools and shadow AI. It should categorize each asset by type (agent, bot, model, SaaS app), platform, department, data access level, and risk status. And it should update continuously — not once a quarter.
I've watched organizations spend three months building an inventory manually through surveys and interviews. Every one of them missed more than half of what was actually deployed. 02Define Your Governance Policy
Now — with an actual inventory in hand — you know what you're governing. You know the tool categories. You know the data access patterns. You know where the risk concentrates. This makes policy writing dramatically more effective.
My advice: don't try to cover everything on day one. Start with the five to seven rules that address your biggest risks. For most enterprises, those are:
Vendor restrictions. Which AI vendors are approved? Which are explicitly prohibited? This is your first line of defense. If a tool comes from a vendor not on the approved list, it gets flagged immediately.
Data classification rules. What data classification levels can AI tools access? Should a writing assistant have access to confidential data? Should an analytics tool be able to read PII? Define the boundaries based on your existing data classification framework.
PII handling requirements. What happens when AI tools process personally identifiable information? What approvals are needed? What audit trail is required?
Budget thresholds. What's the maximum AI spend per department before additional approval is needed? What triggers a procurement review?
Human oversight requirements. Which AI deployments require human review before going live? This is increasingly important under the EU AI Act, which mandates human oversight for high-risk systems.
Write these in plain language. If your engineers can't read the policy and understand what's expected of them, the policy won't be followed — it'll be worked around. I've seen 40-page governance documents that nobody reads outperform a 3-page document that everyone understands exactly zero times. Clarity beats completeness.
03Automate Enforcement
This is where most frameworks stall. The policy exists. The inventory exists. But enforcement is manual.
Someone submits a request to use a new AI tool. The request goes to a governance lead. The governance lead checks it against the policy — maybe by opening the PDF and searching for the relevant section. They email someone in security for input. Security takes a few days. The governance lead sends back approval or denial. Total turnaround: two to three weeks.
Meanwhile, the employee who submitted the request has already been using the tool for two weeks because they couldn't wait. Now you have a governance record that says the tool was evaluated, and an operational reality where it was deployed before the evaluation happened.
Manual enforcement doesn't scale. Not when your organization is adopting new AI tools every week. Not when Gartner projects that 40% of enterprise apps will embed AI agents by end of 2026. The volume of governance decisions is growing faster than any team can process manually.

Here's something I think a lot of governance frameworks get wrong: they treat every decision as binary. Approved or blocked. Yes or no.
Real enterprise governance doesn't work that way. There are tools that fail a policy check today but might be approved after a pending security review completes next week. There are pilot programs that need limited-scope authorization for 30 days. There are emergency deployments where a business-critical tool needs to go live now and get formally evaluated after.
If your framework doesn't handle these grey areas, one of two things happens. Either the governance team starts making informal exceptions that don't get documented — creating compliance gaps. Or they enforce the binary and become a bottleneck that teams work around — creating shadow AI.
What you need are time-bounded exception workflows. A tool that fails a check can receive temporary authorization with a specific expiration date, an identified approver, a documented reason, and an automatic re-evaluation when the window closes. Every exception is logged in the audit trail. Nothing falls through the cracks.
This sounds like a small detail. It's not. Exception handling is the difference between a governance framework that teams actually use and one they route around.
05Measure, Report, Iterate
A governance framework without measurement is just a set of rules with no feedback loop. You need data — not opinions — to know whether governance is working.
Compliance rate. What percentage of your AI inventory is fully compliant with your governance policy? Is that number trending up or down? Which categories of tools have the highest non-compliance rates?
Time to approval. How long does it take for a new AI tool to go from discovery to governance decision? If compliant tools are getting approved in seconds through automation and exceptions are resolved in days, you're in good shape. If everything sits in a manual queue for weeks, your framework is a bottleneck.
Spend visibility. Are you tracking AI costs by department, tool, and vendor? Can you identify duplicate licenses? Do you know your license utilization rates? If the board asks "what are we getting from AI?" — can you answer with data?
Shadow AI detection rate. How many unauthorized tools is your framework catching per month? Is that number growing (meaning employees are still bypassing governance) or shrinking (meaning the framework is earning adoption)?
Report these metrics quarterly. To the board, frame it as portfolio intelligence — here's what we have, here's what it costs, here's what's compliant, here's where we're improving. To engineering and department leads, frame it as enablement — here's how fast compliant tools are getting approved, here's where the bottlenecks are, here's how we're making it easier.
Then iterate. Adjust policies that are generating unnecessary exceptions. Add rules for risk categories your initial policy didn't cover. Tighten thresholds where you're seeing waste. Loosen them where you're creating unnecessary friction.
The Framework Is Never "Done"
I want to end on this because I think it's the most important thing I can say about AI governance frameworks.
Your AI landscape changes every month. New tools appear. Existing tools change their data handling. SaaS vendors embed AI features into products you already use. Employees discover new capabilities. Regulations evolve. Your own business priorities shift.
A governance framework that was perfectly calibrated in Q1 will have gaps by Q3. That's not a failure — it's the nature of governing a technology category that's evolving as fast as AI is in 2026.
The frameworks that succeed are the ones that are built as living systems, not static documents. They have continuous discovery that catches new tools automatically. They have automated enforcement that evaluates against current policy, not the version from six months ago. They have exception workflows that handle the grey areas without creating compliance holes. And they have measurement that tells you whether the system is working and where it needs to evolve.
